Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") govern the relationship between Krisify Solutions (Registration No. RA0128147-A, "we", "us", "our") and any individual or business ("Client", "you") that engages our services or uses our website at krisifysolutions.com.
By submitting an application, signing a service proposal, or making a payment, you agree to be bound by these Terms. If you do not agree, do not proceed with engaging our services.
2. Services
Krisify Solutions provides the following digital growth services:
- Paid Advertising Management — Strategy, setup, management, and optimisation of advertising campaigns on platforms including Meta (Facebook/Instagram), Google, TikTok, LinkedIn, and Microsoft Advertising.
- Marketing Automation — Design and implementation of automated lead follow-up, nurture sequences, booking systems, and CRM workflows, primarily via GoHighLevel.
- Answer Engine Optimisation (AEO) — Content strategy and production designed to achieve citations in AI-generated answers from platforms such as ChatGPT, Perplexity, and Google AI Overviews.
- Website Development — Custom website design and development tailored to your industry, including competitor research, copywriting, responsive build, and SEO/AEO optimisation.
The specific scope of services, deliverables, and pricing for each engagement are defined in the signed service proposal or statement of work ("SOW") provided to the Client.
3. Fees and Payment
- Services are billed on a monthly retainer basis unless otherwise stated in the SOW.
- Invoices are issued at the beginning of each billing cycle and are due within 7 days of the invoice date.
- Payment is accepted via bank transfer or Stripe. Invoices not paid within 7 days may result in a suspension of services.
- Ad spend is separate from our management fees and is billed directly to the Client's ad account. We do not mark up ad spend.
- Fees are non-refundable once a billing cycle has commenced, except where Krisify Solutions has materially failed to deliver the agreed scope of work.
4. No Guarantee of Results
Digital marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, industry competition, offer quality, pricing, and client responsiveness. Krisify Solutions does not guarantee specific results, including but not limited to revenue, leads, return on ad spend (ROAS), pipeline value, or search rankings.
Case studies and results shown on our website are from specific client engagements and are not representative of typical outcomes. Individual results will vary.
5. Client Responsibilities
To enable us to deliver our services effectively, the Client agrees to:
- Provide timely access to required accounts, assets, and platforms (ad accounts, CRM, website, analytics)
- Respond to requests for approvals, feedback, and information within a reasonable timeframe (typically 48 business hours)
- Provide accurate, complete, and up-to-date information about the business, offer, and target audience
- Ensure all advertising content and business claims are truthful and compliant with applicable laws and platform policies
- Maintain sufficient ad budget in the agreed accounts to enable campaign execution
Delays caused by the Client's failure to fulfil these responsibilities do not constitute a service failure on the part of Krisify Solutions.
6. Intellectual Property
- Client-owned deliverables — Upon full payment of all outstanding fees, the Client owns the final creative assets, copy, and website files produced specifically for them under the engagement.
- Krisify-owned methodology — All frameworks, automation templates, systems, processes, and proprietary methodologies developed by Krisify Solutions remain our intellectual property and are licensed (not sold) to the Client for use during the active engagement. These may not be shared, reproduced, or sold to third parties.
- Pre-existing IP — Any materials, tools, or software owned by either party prior to the engagement remain the property of that party.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement ("Confidential Information") and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of 2 years.
8. Term and Termination
- Engagements operate on a rolling monthly basis unless a fixed-term is agreed in writing.
- Either party may terminate the engagement with 30 days' written notice.
- Krisify Solutions may terminate immediately if the Client fails to pay overdue invoices after 14 days' notice, or if the Client engages in conduct that is unlawful, abusive, or in breach of platform policies.
- Upon termination, the Client is responsible for fees accrued up to the effective termination date. We will transfer all Client-owned assets and account access promptly.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Krisify Solutions' total liability to the Client for any claim arising from the services shall not exceed the total fees paid by the Client in the 3 months immediately preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of revenue, or loss of data, even if we have been advised of the possibility of such damages.
We are not responsible for platform policy changes, ad account suspensions, or changes in algorithm performance that are outside our control.
10. Indemnification
The Client agrees to indemnify and hold harmless Krisify Solutions from any claims, damages, or expenses arising from: (a) the Client's misrepresentation of their business or offer; (b) advertising content provided or approved by the Client that violates applicable laws or platform terms; or (c) the Client's breach of these Terms.
11. Governing Law and Disputes
These Terms are governed by the laws of Malaysia. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Malaysia with jurisdiction in Kuala Lumpur.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients with at least 14 days' notice. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
